Detailed rationale

CRISIL Ratings has assigned its CRISIL BB-/Stable rating to the long term bank facilities of Global Educational Services (GES; part of the NVT group).

 

The rating reflects the well-established operations of the NVT group driven by the extensive experience of its promoters, revenue visibility backed by long-term service agreement with group institutions having established regional presence, adequate occupancy levels with low vacancy risk and defined repayment structure of the rated debt secured by cash flows. These strengths are partially offset by its limited scope for growth, vulnerability to stringent regulations in the education sector and highly leveraged capital structure.

Key rating drivers & detailed description

Strengths:

  • Well-established group operations backed by the extensive experience of the promoters: The NVT group is a well-established conglomerate with a diverse portfolio of institutions that have significantly contributed to various sectors such as technology, defence, education and real estate andthe promoters have experience of over three decades. This has given them an understanding of the dynamics of the market and enabled them to establish relationships with suppliers and customers.

 

  • Revenue visibility backed by long-term agreement: GES has signed a service agreement with National Public School (NPS) Marathahalli for providing services to the institution, which ensures steady revenue visibility in the form of rental receipts as well as service charges. NPS is a group entity of NVT and the educational institution has been in existence for over 25 years and has established itself as one of the reputed names in Bengaluru region.

 

Weaknesses:

  • Limited scope for growth: The firm has been essentially established for undertaking construction related activities and consulting services for group companies, trusts, firms and external companies. However, there are no major development projects scheduled (both external and internal) over the medium term thus limiting the scope of growth.

 

  • Vulnerability to stringent regulations: GES’s revenue stream is primarily dependent on the education sector’s performance. The construction, establishment and operations of educational institutions are regulated by various governmental and quasi-governmental agencies, such as the CBSE and state governments. Each body has detailed procedures for granting permission to set up institutions, and approvals need to be renewed every three or five years. Any non-compliance will result in the cancellation of affiliation, license etc leading to loss of reputation for the institution and revenue for the NVT.

 

  • Highly leveraged capital structure: GES’s   financial risk profile is marked by highly leverage capital structure and moderate debt protection metrics. Networth was modest at around Rs 0.50 crore as on March 31, 2024. The project is aggressively funded through a debt-equity ratio of 12 times.

Liquidity: Adequate

Liquidity is adequate marked by DSCR greater than 1 throughout the loan tenure. However, absence of escrow mechanism and DSRA maintenance remains a constraint.

Outlook: Stable

CRISIL Ratings believes GES will continue to benefit from its established position and extensive experience of promoters in the management consulting domain.

  • Significant and substantial growth in revenue, leading to cash accrual of Rs 6 crore
  • Timely collection of rentals ensuring liquidity and improvement in the financial risk profile.

 

Downward factors

  • Decline in revenue in the absence of timely hike in rentals, leading to cash accrual less than Rs 4 crore
  • Delay in collections leading to stretched liquidity

About the firm

Set in 2021, GES oversees the admissions of pre-primary classes of NPS-Whitefield and is also involved in construction activities for group companies as well as external parties. Operations are managed by Mr Nitin Garg, Mr Vivek Garg and Mr Tanuj Garg.
